1. Acceptance of Terms

Welcome to ClearStock. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "you," or "your") and ClearStock ("Company," "we," "us," or "our") governing your use of the ClearStock application (the "App" or "Service").

By installing, accessing, or using ClearStock, you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the App.

If you are installing ClearStock on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

2.1 What ClearStock Does

ClearStock is an inventory management and automated pricing application for Shopify stores. The App provides:

• Inventory Analysis: Calculates stock runway (days until inventory sells out) and sales velocity for products

• Status Classification: Categorizes products as Dead, Stuck, Slowing, Moving, or Oversold based on performance

• Aging Reports: Detailed reports showing inventory health and value at risk

• Auto-Discount Rules: Automated price adjustments for slow-moving inventory

• Manual Discounts: One-click discount application from the aging report

• Run History: Audit trail of all automated and manual pricing changes

• Notifications: Optional email alerts for inventory events (available on paid plans)

2.2 What ClearStock Does NOT Do

• ClearStock does not guarantee increased sales or specific business outcomes

• ClearStock does not provide financial, legal, or tax advice

• ClearStock does not manage shipping, fulfillment, or customer service

• ClearStock does not process payments or handle customer financial data

3. Eligibility

To use ClearStock, you must:

• Be at least 18 years old or the age of majority in your jurisdiction

• Have a valid Shopify store in good standing

• Have authority to grant the required API access permissions

• Comply with all applicable laws and Shopify's Terms of Service

4. Account and Access

4.1 Shopify Authentication

ClearStock uses Shopify's OAuth system for authentication. By installing the App, you authorize ClearStock to access your Shopify store data as specified during the installation process.

4.2 API Permissions

You grant ClearStock permission to:

• Read your product and inventory data

• Read your order data (for velocity calculations)

• Modify product prices (to apply discounts)

• Read and write price rules (for compare-at pricing)

These permissions are necessary for the App to function. You can revoke access at any time by uninstalling the App.

4.3 Account Security

You are responsible for:

• Maintaining the security of your Shopify account

• All activities that occur under your account

• Notifying us immediately of any unauthorized access

5. Pricing and Payment

5.1 Subscription Plans

ClearStock offers the following subscription plans:

5.2 Billing

• All paid subscriptions are billed through Shopify's billing system

• Charges appear on your regular Shopify invoice

• Subscriptions are billed monthly in advance

• All fees are in USD unless otherwise specified

5.3 Free Trial

• New users may receive a free trial period as offered at the time of installation

• Trial features and duration are determined at our discretion

• You will be notified before any charges begin

5.4 Plan Changes

• You may upgrade your plan at any time; changes take effect immediately

• You may downgrade your plan at any time; changes take effect at the next billing cycle

• When downgrading, features and limits of the new plan apply immediately

5.5 Refunds

• Refund requests are handled on a case-by-case basis

• Contact team@clearstockapp.in within 14 days of charge for consideration

• We reserve the right to deny refunds for policy violations

5.6 Price Changes

• We may modify pricing with 30 days' advance notice

• Price changes do not affect current billing cycles

• Continued use after price changes constitutes acceptance

6. Acceptable Use

6.1 You Agree To:

• Use ClearStock only for lawful purposes

• Provide accurate information when configuring the App

• Comply with Shopify's Terms of Service and Acceptable Use Policy

• Respect intellectual property rights

• Maintain reasonable discount limits to protect your business

6.2 You Agree NOT To:

• Use the App to violate any laws or regulations

• Attempt to gain unauthorized access to our systems

• Reverse engineer, decompile, or disassemble the App

• Use the App to harm, harass, or defraud others

• Resell, sublicense, or redistribute access to the App

• Use automated means to access the App beyond normal usage

• Interfere with or disrupt the App's operation

• Misrepresent your affiliation with any person or entity

6.3 Pricing Responsibility

Important: You are solely responsible for all pricing decisions made using ClearStock. This includes:

• Reviewing auto-discount rules before activation

• Setting appropriate maximum discount caps

• Monitoring applied discounts

• Ensuring pricing complies with applicable laws and regulations

• Using the revert functionality if discounts are applied incorrectly

ClearStock provides tools; you make the business decisions.

7. Intellectual Property

7.1 Our Intellectual Property

ClearStock, including its design, features, code, documentation, and branding, is owned by us and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the App according to these Terms.

7.2 Your Content

You retain ownership of your Shopify store data, product information, and business content. By using ClearStock, you grant us a limited license to access and process this data solely to provide the Service.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the App, you grant us the right to use this feedback without restriction or compensation.

8. Data and Privacy

8.1 Privacy Policy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using ClearStock, you consent to our data practices as described in the Privacy Policy.

8.2 Data Ownership

• You own your Shopify store data

• We own aggregated, anonymized data derived from App usage

• We do not sell your identifiable data to third parties

8.3 Data Portability

You can export your data:

• Aging Report as CSV (Starter plan and above)

• Run History through the App interface

• Contact support for additional data export requests

9. Service Availability

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. The App may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)

• Emergency maintenance or security updates

• Factors beyond our control (Shopify outages, network issues)

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes:

• We will provide 30 days' notice when feasible

• You may terminate your subscription if changes are unacceptable

9.3 Third-Party Dependencies

ClearStock relies on Shopify's API and platform. We are not responsible for:

• Changes to Shopify's API or platform

• Shopify service interruptions

• Shopify policy changes affecting App functionality

10. Disclaimer of Warranties

10.1 "As Is" Service

CLEARSTOCK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

• ACCURACY OR COMPLETENESS

10.2 No Guarantee of Results

WE DO NOT WARRANT OR GUARANTEE THAT:

• The App will meet your specific requirements

• The App will be uninterrupted, timely, secure, or error-free

• Results obtained from the App will be accurate or reliable

• Any defects will be corrected

• Using the App will increase your sales or profits

10.3 Business Decisions

YOU ACKNOWLEDGE THAT:

• Pricing decisions are your sole responsibility

• Auto-discounts may affect your revenue and margins

• You should review and test rules before enabling automation

• ClearStock is a tool, not a substitute for business judgment

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLEARSTOCK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, or business opportunities

• Cost of substitute services

• Damages arising from your use or inability to use the App

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• The amount you paid us in the twelve (12) months preceding the claim, or

• One hundred dollars ($100 USD)

11.3 Basis of the Bargain

The limitations in this section reflect the allocation of risk between the parties and are an essential basis of the bargain between us.

11.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless ClearStock and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App

• Your violation of these Terms

• Your violation of any third-party rights

• Your pricing decisions and their consequences

• Any disputes with your customers related to pricing

• Your violation of any laws or regulations

13. Termination

13.1 Termination by You

You may terminate your use of ClearStock at any time by:

• Uninstalling the App from your Shopify admin

• Canceling your subscription through Shopify's billing system

13.2 Termination by Us

We may suspend or terminate your access to ClearStock:

• Immediately, for violation of these Terms

• Immediately, for violation of Shopify's Terms of Service

• With 30 days' notice, for any other reason

13.3 Effect of Termination

Upon termination:

• Your right to use the App ceases immediately

• Active discounts applied by ClearStock remain in place (you must manually adjust prices)

• We will delete your data according to our Privacy Policy

• Sections that by their nature should survive termination will survive

13.4 No Refund Upon Termination for Cause

If we terminate your account for violation of these Terms, you are not entitled to a refund of any fees paid.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at team@clearstockapp.in to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

14.3 Jurisdiction

For any disputes not resolved informally, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.5 Time Limitation

Any claim or cause of action arising from or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClearStock regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.6 Notices

We may provide notices to you via:

• Email to the address associated with your Shopify account

• In-app notifications

• Posting on our website

15.7 Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ClearStock.

15.8 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

16. Changes to Terms

We may modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date

• We will notify you via email or in-app notification

• Changes take effect 30 days after posting (or immediately for changes required by law)

Your continued use of ClearStock after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App and uninstall it.

18. Acknowledgment

BY INSTALLING AND USING CLEARSTOCK, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
